International End User License Agreement (EULA)

1. License for International Use
Subject to the terms of this Agreement, OmniPACS grants you a non-exclusive, non-transferable, and limited license to access and use the OmniPACS software and Site internationally. This license is contingent upon timely payment of all due amounts. The software may be used only in accordance with this Agreement and applicable legal requirements. Resale, sub-licensing, transfer, or assignment of the software or services, without express written consent from OmniPACS, is prohibited. Entities may use the software on multiple systems within their network, extending rights to necessary employees.

2. Exclusive Ownership
All intellectual property rights in the OmniPACS software, Site, and related materials remain the exclusive property of OmniPACS and/or its licensors. This Agreement does not transfer any intellectual property rights to the user. Unauthorized use of these rights is a violation of this Agreement and applicable laws.

3. No Modifications
Users may not modify, create derivative works, reverse engineer, decompile, disassemble, or hack the OmniPACS software, except as permitted by law.

4. No Removal of Notices
All notices or indications of IP rights and OmniPACS’ ownership must remain intact and unaltered on all materials.

5. Survival
This section remains in effect post-termination of this Agreement.

INTERNATIONAL USE PROVISIONS

6. Acknowledgement of Non-Certification
OmniPACS is not medically certified internationally and its policies and accreditations do not apply outside of the USA. Users accessing the service internationally do so at their own risk.

7. Disclaimer of Warranties for International Use
The software and services are provided “as is” without warranties of any kind. OmniPACS makes no guarantees regarding the performance, accuracy, reliability, or suitability for international use.

8. Limitation of Liability
OmniPACS shall not be liable for any damages, losses, or liabilities arising from the use of its services internationally. The user assumes all risks and responsibilities.

9. Indemnification
The user agrees to indemnify and hold OmniPACS harmless against any claims, damages, or liabilities arising from international use.

10. Support
Support for international users is provided on a “best effort” basis without guarantees. OmniPACS is not responsible for any delays or failures in support services.

11. Governing Law and Jurisdiction
This Agreement is governed by the laws of the United States. Any disputes will be subject to U.S. jurisdiction, excluding its conflict of law principles.

12. Acceptance of Terms
By using the OmniPACS services internationally, the user unequivocally accepts these terms and all associated liabilities.
